You must be at least 18 years old to use our services. If you disagree with any part of these terms, you cannot use our platform.

1.1 These Terms of Service ("Legal Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you", "User"), and NEWZONE AUDIO LTD ("Company", "we", "us", "our"), concerning your access to and use of the website located at studio.newzone.audio (the "Site") and all associated digital products, course materials, video streaming, downloadable assets, and services offered through the Site (collectively, the "Services").

1.2 By accessing the Site or purchasing the Services, you acknowledge that you have read, understood, and agree to be bound by all of these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

1.3 The Services are intended exclusively for individuals who are at least eighteen (18) years of age. Persons under the age of 18 are expressly prohibited from registering for, purchasing, or using the Services.

2. Definitions and Interpretation

2.1 "Course Materials" refers to all visual, audio, video, text, code, graphics, downloadable sound libraries, project templates, presets, software scripts, and instructional assets provided as part of the NEWZONE AUDIO sound design course.

2.2 "Merchant of Record" refers to Paddle.com Market Limited (or its affiliates, including Paddle Payments Limited), which acts as the official reseller and manages checkout, payment processing, sales tax, EU VAT OSS, customer billing compliance, and dispute resolution on behalf of NEWZONE AUDIO LTD.

2.3 "Single Sign-On (SSO)" refers to the authentication mechanism operated via Supabase Inc. using Google LLC OAuth authentication to manage secure user logins.

3. Intellectual Property Rights & Non-Commercial License

Plain English: We own all content in the course (videos, audio, project files, code, sound libraries). When you buy the course, you get a license for personal learning. You cannot resell, copy, redistribute, or stream our videos to others. Crucially, you are strictly forbidden from using any of our content to train or build AI models.

3.1 Ownership: We are the owner or the authorized licensee of all intellectual property rights in the Services, including all source code, databases, platform functionality, software, website designs, audio tracks, video recordings, textual content, lesson transcripts, graphics, sound effect libraries, presets, project files, and trademarks/logos contained therein (collectively, the "Content" and "Marks").

3.2 Grant of License: Subject to your full compliance with these Legal Terms and payment of applicable fees, NEWZONE AUDIO LTD grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access the Course Materials solely for your personal, educational, non-commercial learning purposes.

3.3 Restrictions on Use: Except as expressly permitted herein, no part of the Services or Content may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, rented, broadcast, or otherwise exploited for any commercial purpose whatsoever without our prior written consent.

3.4 Prohibition on Artificial Intelligence (AI) Training: You are expressly prohibited from using, extracting, harvesting, scraping, or feeding any portion of the Content, Course Materials, audio recordings, project files, text, or video assets—whether manually or via automated software—to train, test, develop, fine-tune, or validate artificial intelligence (AI) models, machine learning algorithms, generative voice/audio engines, or automated content systems.

4. User Registration & Account Authentication

Plain English: To access the course, you log in securely via Google SSO through Supabase. You are responsible for maintaining your account's security. Sharing your account login with others is strictly forbidden and will result in immediate termination without a refund.

4.1 You are required to register an account to access the Services. Authentication is processed via Google Single Sign-On (SSO), operated through our secure backend database provided by Supabase Inc.

4.2 By authenticating via Google SSO, you authorize us to receive and store core identification data, including your full name, email address, and profile picture, necessary to establish your user identity and grant platform access.

4.3 You agree to keep your account access credentials strictly confidential. Account sharing, concurrent multi-user access, or selling/transferring access credentials to third parties is strictly prohibited. If we reasonably detect shared logins or unauthorized multi-location streaming, we reserve the right to suspend or permanently terminate your account immediately without prior notice or refund.

5. Purchases, Payments & Merchant of Record (Paddle)

Plain English: Our online checkout is operated by Paddle, who acts as the Merchant of Record. By completing a purchase, you agree to Paddle's Buyer Terms. Paddle processes your payment, calculates local sales tax, handles billing queries, and has the legal authority to issue refunds or manage chargebacks independently.

5.1 Merchant of Record Role: Our commercial checkout and payment processing are operated exclusively by Paddle.com Market Limited (or Paddle Payments Limited) ("Paddle"). Paddle is the official Merchant of Record for all purchases made on the Site. When you purchase the course, you enter into a sales contract directly with Paddle, which governs the transaction. Every time a buyer initiates a checkout flow, they agree to Paddle's Checkout Buyer Terms (available at paddle.com/legal/checkout-buyer-terms).

5.2 Independent Authority: As the legal reseller, Paddle reserves the legal authority to issue refunds, process order cancellations independently of NEWZONE AUDIO LTD, handle buyer disputes, and manage chargebacks.

5.3 Tax Compliance: Paddle is responsible for calculating, collecting, and remitting applicable sales tax, Goods and Services Tax (GST), State Sales Tax, and Value Added Tax (VAT / EU VAT OSS) based on your geographic location and billing address. NEWZONE AUDIO LTD is a UK Limited Company not currently registered for UK VAT, but tax is collected by Paddle as Merchant of Record where required by law.

5.4 Pricing and Payment Methods: The price for the course is a one-off fee specified at checkout. Paddle supports payment via major credit/debit cards, PayPal, Apple Pay, and Google Pay. All financial details are processed securely by Paddle under PCI-DSS Level 1 compliance; NEWZONE AUDIO LTD does not collect, process, or store credit card numbers.

6. Digital Content Delivery & Consumer Rights

Plain English: You get instant online access to the course the moment you pay. Because of this immediate access, our refund process is governed by a separate Refund Policy, which aligns with Paddle's legal requirements and your statutory consumer rights.

6.1 Immediate Supply of Digital Content: By completing your purchase on the Site, you consent to the immediate performance and supply of the digital Course Materials. Delivery is executed via instant online access to our secure video streams and downloadable assets.

6.2 Refund Policy Integration: Cancellations, statutory 14-day rights of withdrawal, and discretionary refunds are strictly governed by our standalone Refund Policy, which incorporates Paddle's Global Refund Policy. By agreeing to these Terms of Service, you acknowledge that you have read and agreed to our Refund Policy.

6.3 Reservation of Statutory Rights: Nothing in these Legal Terms limits, excludes, or impairs any non-waivable statutory rights you possess under applicable consumer protection legislation. If the digital content provided is proven to be defective, faulty, misrepresented, or permanently inaccessible due to our breach, you retain all statutory remedies, including repair, replacement, or price reduction as mandated by law.

7. Platform Availability & "Lifetime Access" Definition

Plain English: "Lifetime Access" means you can access the course for as long as NEWZONE AUDIO LTD continues to run and host the platform. We reserve the right to modify, update, or eventually retire the platform if business circumstances require, and we will give reasonable advance notice if a shutdown ever occurs.

7.1 Definition of Lifetime Access: Where a purchase includes "lifetime access", this phrase strictly refers to the lifetime of the commercial operation of the Services by NEWZONE AUDIO LTD, and does not constitute a legal warranty of infinite hosting or perpetual service into eternity.

7.2 Service Updates and Discontinuation: NEWZONE AUDIO LTD reserves the right to update, modify, refine, or reorganize Course Materials at any time to reflect software updates or modern industry practices. In the event that NEWZONE AUDIO LTD elects to permanently discontinue hosting the course platform, we will provide registered users with at least thirty (30) days' written notice via email, during which users will be granted an opportunity to download reasonable offline resource assets.

8. Prohibited Conduct & Acceptable Use Policy

Plain English: You agree to use our site lawfully. Hacking, scraping content with automated bots, recording video streams with third-party software, reselling accounts, or attempting to breach platform security will result in immediate termination and legal action.

8.1 You agree that you will not engage in any of the following prohibited activities:

  • Systematically downloading, scraping, or harvesting content, text, data, or media from the Site using automated bots, crawlers, spiders, or extraction tools.
  • Bypassing, disabling, or interfering with security features, digital rights management (DRM), streaming obfuscation, or access control mechanisms.
  • Screen recording, ripping, capturing, re-broadcasting, or redistributing course video streams or proprietary downloadable assets.
  • Attempting to reverse engineer, decompile, disassemble, or discover the underlying source code of the Site or underlying software.
  • Sharing, selling, renting, or leasing your account access credentials to third parties.
  • Using the Services or Course Materials to build a competing educational platform, commercial derivative work, or AI dataset.

9. Technical Requirements & Equipment Disclaimer

12. Disclaimer of Warranties & Limitation of Liability

12.1 AS IS Provision: THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, NEWZONE AUDIO LTD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12.3 Maximum Liability Cap: OUR MAXIMUM AGGREGATE LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO NEWZONE AUDIO LTD FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. General Boilerplate Provisions

13.1 Severability: If any provision or part of a provision of these Legal Terms is determined to be unlawful, void, or unenforceable, that provision or part shall be deemed severable and shall not affect the validity and enforceability of remaining provisions.

13.2 Entire Agreement: These Legal Terms, along with our Privacy Policy, Cookie Policy, and Refund Policy, constitute the entire agreement between you and NEWZONE AUDIO LTD regarding the Services, superseding all prior understandings or communications.

13.3 No Waiver: Our failure to exercise or enforce any right or provision of these Legal Terms shall not operate as a waiver of such right or provision.

13.4 Assignment: We may assign any or all of our rights and obligations under these Legal Terms to a successor entity or purchaser without restriction.
